In mid-October 2025, the Bulgarian State Gazette published the Act amending and supplementing the Commercial Register and the Register of Non-Profit Legal Entities Act (CRRNPLEA) .
With Directive (EU) 2019/1151, the European Union expanded the rules in the field of company law by introducing more digital solutions for the incorporation and management of companies.
The new provisions of the CRRNPLEA provide for:
- the expansion of electronic information exchange between the commercial and company registers of the Member States, including data on persons disqualified from serving as managers or directors;
- the obligation that all documents and data related to the incorporation of companies and branches, as well as subsequent registrations, be stored in a machine-readable and searchable format or as structured data.
The objective is to facilitate access to information, improve its exchange between national systems, and ensure that it can be easily processed by software applications.
Member States are required to transpose these requirements into their national legislation through the adoption of appropriate legislative and administrative measures.
The draft law provides for the establishment of a unified register of persons disqualified from exercising management rights, which will be maintained by the Registry Agency. The register will contain data on natural persons who, under Bulgarian legislation, are prohibited from serving as managers or as members of the management and supervisory bodies of commercial companies. It will enable swift verification and responses to requests from other Member States through the system of interconnection of registers.
Due to the inclusion of personal data, access to this register will be strictly limited and it will not be publicly available, in accordance with European data protection rules.
The Registry Agency will receive immediate data on penal decrees leading to disqualification from management rights. A new ordinance is envisaged, along with amendments to Ordinance No. 1/2007 on the maintenance of documents in the Commercial Register and the Register of Non-Profit Legal Entities, requiring that they be kept in a machine-readable and full-text searchable format. The Agency will be obliged to bring the registers into compliance with the new rules and to ensure the registration of persons disqualified from exercising management rights.
The expected results include: the implementation of European requirements for data exchange and digitalization, the prevention of EU sanctions, and the strengthening of economic turnover, legal certainty, and the investment climate. For the implementation of the project, BGN 2,244,000 has been allocated under the Agency’s 2027 budget for the development of the new system and the upgrading of electronic services.
